Terms of Service

1. Acceptance of Terms

Welcome to Embassi. By accessing or using our mobile application, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Embassi Inc. ("Embassi," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

2. Use of Services

2.1 Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent's or guardian's permission to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on any intellectual property rights
  • Upload or transmit viruses, malware, or any harmful code
  • Engage in any fraudulent, abusive, or harassing behavior
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the Services or servers
  • Use automated systems (bots, scrapers) without our permission
  • Impersonate any person or entity
  • Collect or harvest user information without consent
  • Use the Services for any illegal or unauthorized purpose

3. User Content

3.1 Your Content

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant Embassi a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and Embassi's business operations.

3.2 Content Standards

You represent and warrant that your User Content:

  • Does not violate any third-party rights, including intellectual property rights
  • Does not contain defamatory, obscene, or offensive material
  • Does not promote violence, discrimination, or illegal activities
  • Complies with all applicable laws and regulations
  • Is accurate and not misleading

3.3 Content Moderation

We reserve the right, but have no obligation, to monitor, review, or remove User Content at our sole discretion. We may remove content that violates these Terms or is otherwise objectionable.

3.4 Copyright and Takedown Requests

We respect intellectual property rights. If you believe that any content on our Services infringes your copyright or other intellectual property rights, please submit a takedown request to:

Your request must include:

  • Identification of the copyrighted work or intellectual property claimed to be infringed
  • Identification of the material that is claimed to be infringing, including URL or location
  • Your contact information (name, address, phone number, email)
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement that the information in the notification is accurate
  • Your physical or electronic signature

We will review all valid takedown requests and respond within 24 hours. Upon receiving a valid request, we will promptly remove or disable access to the allegedly infringing content.

4. Intellectual Property

The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Embassi, its licensors, or other content providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, except as permitted by law.

5. Third-Party Links and Services

Our Services may contain links to third-party websites, services, or resources. We are not responsible for the content, products, or services offered by third parties. Your interactions with third parties are solely between you and such third parties. We encourage you to review the terms and privacy policies of any third-party services you access.

6. Disclaimers and Limitation of Liability

6.1 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. EMBASSI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBASSI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF THE SERVICES; (D) ANY BUGS, VIRUSES, OR THE LIKE TRANSMITTED THROUGH THE SERVICES BY ANY THIRD PARTY; OR (E) ANY USER CONTENT OR CONDUCT OF ANY THIRD PARTY.

IN NO EVENT SHALL EMBASSI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO EMBASSI IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

7. Indemnification

You agree to defend, indemnify, and hold harmless Embassi and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another.

8. Dispute Resolution

8.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@embassi.co. We will attempt to resolve the dispute informally within 60 days.

8.2 Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the arbitration award may be entered in any court having jurisdiction.

8.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Embassi individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

9. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us or through your account settings. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

11. General Provisions

11.1 Entire Agreement

These Terms constitute the entire agreement between you and Embassi regarding the Services and supersede all prior agreements.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

11.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

11.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
